Terms and conditions of use of the www.darwinsquare.com website (hereinafter, the “Website”)

A) Legal notices
This page establishes the terms and conditions of use and contains the legal notices of the Website, which govern the rights and duties of Website users, on the basis of which each user, whether a natural or legal person (hereinafter the “User”, as defined below), may browse and use the Website and the available services free of charge via the Website (hereinafter “Terms and Conditions of Use”). The Website is owned by NUOVA ACCADEMIA S.r.l. Società Unipersonale, with registered office in Milan, at Via Darwin 20, entered in the Register of Companies of Milan under number 04844890584, share capital EUR 10,400.00 (ten thousand four hundred), (hereinafter “NABA”).

These Terms and Conditions of Use are entirely valid and binding upon and between NABA and the User and are deemed to be fully accepted by Users every time they access the Website, browse the Website or use the Website or the Website Services. Users who do not intend to accept these Terms and Conditions of Use of the Website are not entitled to use the Website or Website Services nor are they permitted to do so by NABA. NABA reserves the right, at its exclusive discretion, to suspend or interrupt access to or use of the Website and Services by Users who violate these Terms and Conditions of Use.

B) Users entitled to access the Website

The only “Users” entitled to access the Website are those included in the following categories:

- “Students”: two-year and three-year students registered to attend academic and post-graduate master’s courses at NABA and Domus Academy until the date of award of their qualification. NABA students who have achieved a first or second level academic qualification are considered “students” for a year after being awarded their qualification. “Students” may register with the Website and use the Website Services as of the second semester of the last year of attendance of a course at NABA and Domus Academy.
- “Alumni”: former students of NABA and Domus Academy who have completed their course of study.
- “Lecturers”: lecturers contracted by NABA and Domus Academy.
- “Staff Members”: staff members contracted by NABA and Domus Academy.
- “Companies”: companies that wish to do so may use the Website and Services, provided that they are not competitors of NABA and Domus Academy.
- Recruitment and head hunting companies, which will have access only and exclusively to information regarding the students of Domus Academy and NABA Alumni.
 
Users may only access the website in person, not through third parties. Users are not authorised to publish more than one copy of the same page, profile or CV, and are not authorised to hold joint accounts or communicate and share user names and passwords for access to the Website. Users will also be required to post or send complete, truthful and accurate personal information to the Website. Users are required to take appropriate measures to protect any personal data that may come to their knowledge against loss, improper use, unauthorised access, distribution, alteration or destruction. Users are required to post good quality content. Any poor quality content will be rejected or deleted by NABA at its sole discretion.

NABA reserves the right to refuse Users who post false, misleading or inaccurate data, and who violate these Terms and Conditions of Use of the Website or harm the interests of NABA and Domus Academy in any way, and will retain the right, at its sole discretion, to expel them from the Website at any time and to block their future access. Users shall be the sole parties responsible for the use made of their registration with the Website and individual passwords , as well as for the content placed on the Site, although NABA may refuse or cancel, at its sole discretion, the publication of any content, including User projects, if they are of poor quality, and shall retain the other rights granted by the Terms and Conditions of Use.


C) Website Services

The Website allows Users to use a number of services. In particular, the Website allows the following:

Student Users only:
online publication of their curriculum vitae on a dedicated page;
online publication of a selection of their most significant work (portfolio) on a dedicated page;
online publication, by means of posts, of projects they are currently working on, in order to involve other users and/or respond to a competition announcement, on the dedicated page;
selecting and saving the content (portfolio work, CVs or projects) of other users as “favourites” within the dedicated page;
creating a personal profile and making it public;
accessing and viewing the profiles of other Users;
accessing and viewing offers of internships from other Users;
Students cannot access placement offers;
the contact details, name and surname of these Users contained in their profiles, CV and dedicated page will not be accessible to Companies online. Companies will only see an identification code but may be supplied with this information and personal data by the NABA and Domus Academy Career Service Office if they request it by sending an email to careerservices@laureatedesign.it. All other information, CVs, profiles, etc. will however be public and freely viewable by Companies. All the information, including names, surnames and personal contact details will however be accessible to all Users other than Companies.
Users progress from “Student” to “Alumni” status automatically according to the timing of their course of study: for those who have attended an academic course at NABA the change of status will take place a year after the award of their qualification, for all other Students it takes place on the date of award of the qualification. Following this change of status, all the information relating to the Student will automatically be made public via the Website, and therefore to Companies.

Alumni Users only:
online publication of their curriculum vitae on a dedicated page;
online publication of a selection of their most significant work (portfolio) on a dedicated page;
online publication, by means of posts, of projects they are currently working on, in order to involve other users and/or respond to a competition announcement, on the dedicated page;
selecting and saving the content (portfolio work, CVs or projects) of other users as “favourites” within the dedicated page;
creating a personal profile and making it public;
accessing and viewing the profiles of other Users;
accessing and viewing offers of placements from other Users;
Alumni cannot access internship offers;
all content published online by these Users is public.

Lecturer Users only:
online publication of their curriculum vitae on a dedicated page;
online publication, by means of posts, of projects they are currently working on, in order to involve other users and/or respond to a competition announcement, on the dedicated page;
selecting and saving the content (portfolio work, CVs or projects) of other users as “favourites” within the dedicated page;
creating a personal profile and making it public;
accessing and viewing the profiles of other Users;
all content published online by these Users is public.

Company Users only:
creating a personal profile and making it public;
publishing internship offers, placement offers, notices of competitions, known as “Contests”, and projects online;
viewing the content published by other Users, excluding the content specified for Students;
all content published online by Companies is public. Users may decide to publish internship and/or placement announcements anonymously;
the contact details, name and surname of Students contained in their profiles, CV and dedicated page will not be accessible to Companies online. Companies will only see an identification code but may be supplied with this information and personal data by the NABA and Domus Academy Career Service Office if they send an email to careerservices@laureatedesign.it. All other information, CVs, profiles, etc. will however be public and freely viewable by Companies. All the information, including names, surnames and personal contact details will however be accessible to all Users other than Companies. Information relating to Students will automatically be made public via the Website, and therefore to Companies, after users have progressed to “Alumni” status.
    
NABA reserves the right to amend these Terms and Conditions of Use unilaterally and at any time. These will become automatically binding on all Users. Users are required periodically to view the Terms and Conditions of Use to verify the amendments.
 
Users must be 18 or older to access, browse or use the Website or Services. Users who are under 18 years of age, or in any case minors under the laws in force in their country, must use the Website or Services under the supervision and control of a parent, guardian or other responsible adult.


D) Access to and use of the Website content and Services
Users, according to these Terms and Conditions of Use, are authorised to access and use the Website, the Services and Website content, and to download and print the Content, exclusively for personal use. Use of the Website and Services for commercial purposes is prohibited. All content and any use of the Website content, including text, graphics, images, videos, information, logos, button icons, interfaces, photographs, codes, software, audio and video files and others are the exclusive property of NABA and are protected by intellectual property laws. Unauthorised use of the Website content may violate industrial and intellectual property laws and is strictly forbidden. Unless otherwise expressly stated in these Terms and Conditions of Use, under no circumstances do these Terms and Conditions of Use grant any licence or right of use regarding the intellectual property rights.

Users are strictly forbidden to:
 
(1) transmit, publish, distribute, copy, store or destroy the contents of the Website in violation of any applicable law, including, by way of example, laws or regulations governing the collection, handling or processing of personal data, or to use data mining devices;
 
(2) violate or attempt to violate the computer security system and Website protection;
(3) copy, reproduce, reverse engineer or decompile the Website or Website software;
(4) reprocess, reproduce, copy, duplicate, decompile the Website content;

(5) perform operations not allowed by these Terms and Conditions of Use;
 
(6) upload content or images that contain false or misleading information or constitute illegal activities or incitements to perform illegal activities;

(7) upload content or images that violate privacy or copyright regulations, the intellectual or industrial property of third parties or the image, name, honour and reputation of third parties;

(8) send or post unsolicited or unwanted communications or emails , contact, make unsolicited telephone calls or send unsolicited faxes, for the purpose of promoting and/or advertising products or services to Users;

(9) attempt to interfere with the services of other Users or with the Website, including by sending computer viruses;

(10) use the Website or Services for any unlawful purpose or illegal activity, or publish or send content that is defamatory, offensive, vulgar, obscene, contrary to common decency or offensive to the honour and reputation of third parties;

(11) upload material that is pornographic, indecent, has a sexual content or is intended to solicit minors;

(12) include names, logos and trademarks registered by third parties or works protected by copyright or other intellectual property rights held by third parties;

(13) sell, promote or advertise products or services of any kind;

(14) publish requests that require people to state their membership of a political party, religion, race or ethnicity, religious or philosophical beliefs, membership of and participation in a trade union, state of health, sexuality or age.
 
Users are advised that the violations of security listed above give rise to civil liability and/or criminal penalties. NABA will be free to investigate such violations and may cooperate freely with the relevant authorities in order to prosecute Users responsible for such violations, which will include but not be limited to supplying names and surnames, addresses and other information.


E) Exclusive responsibility of the User for the content and material posted

Notwithstanding the fact that NABA may carry out checks limited exclusively to the quality of the projects published on the Website, as well as delete or reject them, the User acknowledges and accepts that it is the sole party responsible for the content, material and images posted to the Website.
 
Users accept and acknowledge that they have no right of ownership or entitlement to copy the content posted to the Website and that this content and material may be deleted or removed by NABA at any time if, at the sole discretion of NABA, it is contrary to the Terms and Conditions of Use or to the laws and regulations in force in the various Countries of Use or to the intellectual property rights or other rights held by third parties and Users may be deregistered, have their access blocked, interrupted and refused without any right to compensation of any kind. NABA also reserves the right to remove a User’s page and any information relating to it in the event of inactivity or non-use of the Website for a significant period of time.

NABA declares that it does not own and has no control over the content posted by Users. Users declare and warrant that they own or have been granted an appropriate licence to all the intellectual property rights relating to the Website contents.

NABA cannot guarantee the truthfulness, accuracy or reliability of the content posted by Users, nor of the projects, information and profiles published, nor does NABA in any way support the opinions expressed by Users. NABA does not guarantee that the Website or User content is free from errors, viruses or other technical or computer defects. Users acknowledge that any reliance on the material published by other Users will be at their sole risk and that any liability will be at their sole expense.
 
NABA recommends that Users retain a backup copy of the content they have posted. Insofar as is permitted by the law, under no circumstances may NABA be held responsible for any unauthorised removal, loss or amendment of a User’s content or material.

The Website and content are managed by NABA without any express or implied warranty or responsibility, to the extent permitted by the law, and are offered on an “as is” basis. NABA may not therefore be held liable in any respect, other than as required by law, for any direct or indirect losses, whether in contract or tort, incurred by the Users or third parties, loss of profits, loss of data, inability to use the Website and Website content or other losses, even if it is aware of such losses. In any case, NABA’s liability will not generate demands for damages exceeding 50 euros, which is considered to be the maximum amount that may be subject to compensation.

Users undertake to indemnify and hold fully harmless NABA and its affiliated, subsidiary, parent and associated companies from and against any claims, actions or claims for damages / compensation / remuneration, including (but not limited to) legal and accounting fees or other losses arising from the content, material and information uploaded by Users, or their use, and from the violation by Users of the Terms and Conditions of Use and other third party rights.

These Terms and Conditions of Use of the Website shall be governed by Italian law. The Court of Milan shall have exclusive jurisdiction in respect of any dispute that may arise regarding these Terms and Conditions of Use, their interpretation, enforcement or violation, except in the event of a binding territorial jurisdiction, determined by the residence or domicile of the User according to Legislative Decree No. 206/2005. Any partial invalidity, nullity and/or illegality of these Terms and Conditions of Use, or of any individual clause, that may be established by the competent court, shall not determine the invalidity, nullity or illegality of the remaining provisions, which shall remain in force.

F) Personal data protection and User privacy
